These Terms and Conditions govern the use of the websites www.ksbanalytica.com and credit-clustering.ksbanalytica.com, including all related pages, tools, reports, digital outputs, consulting information, and services made available by KSB Analytica.

By accessing or using the websites, submitting information, purchasing a digital service, or using the Credit Clustering Tool, you agree to these Terms and Conditions. If you do not agree, you must not use the websites or services.

2. Scope of services

KSB Analytica provides business, financial, analytical, modelling, corporate finance, fractional CFO, valuation-related, financial management, and decision-support services.

The website www.ksbanalytica.com provides general information about consulting services.

The website credit-clustering.ksbanalytica.com provides access to a digital credit clustering and analytical tool, which may process user-submitted financial or company data and generate automated outputs, classifications, reports, scores, clusters, risk indicators, or similar analytical results.

Unless expressly agreed in a separate written contract, all information, materials, calculations, models, outputs, and reports are provided for general informational and decision-support purposes only.

3. No binding offer

Information published on the websites does not constitute a binding offer, quotation, commitment, guarantee, or professional engagement.

Any consulting service, custom analysis, valuation-related work, financial modelling engagement, or advisory engagement requires a separate written offer, written acceptance, and, where applicable, payment confirmation.

KSB Analytica may refuse, suspend, or discontinue any service at its discretion, especially where the requested work is incomplete, outside the scope of available expertise, legally restricted, commercially unreasonable, or dependent on unreliable data.

4. Nature and limitations of the Credit Clustering Tool

The Credit Clustering Tool is an automated analytical and decision-support tool. It uses quantitative methods, financial metrics, clustering logic, scoring logic, statistical processing, model assumptions, and available input data to generate indicative outputs.

The tool does not provide:

credit ratings issued by a licensed credit rating agency;
investment advice;
regulated financial advice;
legal advice;
tax advice;
audit assurance;
accounting certification;
banking approval;
loan approval;
insurance approval;
public authority certification;
professional valuation opinion;
guarantee of solvency, default probability, collectability, or creditworthiness.
The tool is not a substitute for professional judgement, independent review, due diligence, credit committee assessment, banking analysis, accounting review, legal review, audit, valuation, or expert advisory work.

Any output generated by the tool must be interpreted by a competent person. You remain fully responsible for any decision, action, omission, transaction, financing decision, credit decision, investment decision, commercial decision, or reliance based on the output.

5. No guarantee of accuracy or completeness

KSB Analytica makes reasonable efforts to provide useful and professional analytical outputs. However, no guarantee is given that any website content, calculation, model, report, score, cluster, classification, ratio, recommendation, forecast, or analytical result will be accurate, complete, current, suitable, error-free, uninterrupted, or fit for any particular purpose.

Outputs may be affected by:

incorrect, incomplete, outdated, inconsistent, or misleading input data;
differences in accounting standards, reporting practices, currencies, periods, or classifications;
missing values or approximations;
model assumptions and simplifications;
statistical limitations;
software errors or technical failures;
changes in economic, sector, legal, financial, or market conditions;

6. User responsibility for input data

You are solely responsible for the accuracy, legality, ownership, completeness, and reliability of all data, files, financial statements, company information, personal data, or other materials uploaded, entered, submitted, or transmitted through the websites or tools.

You confirm that you have all necessary rights, permissions, lawful basis, and authority to submit such information.

You must not upload or submit unlawful, confidential third-party data without permission, malicious files, false information, personal data without a lawful basis, or information that infringes intellectual property, contractual, regulatory, or confidentiality obligations.

KSB Analytica is not responsible for losses, damages, claims, or incorrect outputs resulting from the data you provide.

7. Professional judgement and independent verification

You agree that any output from KSB Analytica, including from the Credit Clustering Tool, must be independently reviewed before use.

You must not rely solely on automated outputs for material decisions, including but not limited to lending, borrowing, investing, acquiring, selling, restructuring, granting payment terms, terminating commercial relationships, initiating legal proceedings, approving credit limits, or assessing bankruptcy risk.

You are responsible for obtaining professional advice from qualified experts where required.

8. Payments

Payments for digital services, reports, subscriptions, packages, or other paid services may be processed through third-party payment providers, including myPOS.

KSB Analytica does not process, store, or directly handle your full credit card or debit card details on its own website infrastructure. Card payments are processed through the relevant payment provider’s secure environment, systems, or payment flow.

By making a payment, you may also be subject to the terms, privacy policy, security rules, and processing conditions of the relevant third-party payment provider.

KSB Analytica is not responsible for technical failures, rejected payments, bank charges, card issuer decisions, payment provider restrictions, currency conversion charges, payment delays, or third-party payment processing errors, except where mandatory law provides otherwise.

9. Prices, taxes, and invoices

Prices are shown in the applicable currency and may be amended at any time.

Unless expressly stated otherwise, prices do not include taxes, bank charges, card fees, currency conversion costs, accounting charges, or other external costs.

Where applicable, invoices or payment confirmations may be issued based on the information provided by the user. You are responsible for providing correct billing details.

10. No-refund policy for digital services

Due to the nature of digital services, automated analysis, generated reports, downloadable materials, and immediate access tools, payments are generally non-refundable once access has been granted, processing has started, a report has been generated, or the service has been delivered.

This no-refund policy applies especially where:

the user has accessed the paid tool;
the user has submitted data for processing;
an automated report or output has been generated;
digital content has been made available;
the purchased service has already started or has been delivered;
the issue results from incorrect or incomplete user input;
the user changes their mind after purchase.

However, nothing in these Terms limits any mandatory statutory rights that may apply to consumers under Bulgarian or EU law.

Where applicable, consumer law grants a right of withdrawal; such right will apply only to the extent required by law. For digital content or digital services, the user may be required to provide express consent to immediate performance and acknowledge the loss of withdrawal rights once performance begins, where legally permitted.

11. Availability and technical limitations

KSB Analytica does not guarantee uninterrupted access to the websites or tools.

Access may be interrupted, suspended, limited, or delayed due to maintenance, updates, hosting issues, cybersecurity measures, third-party provider failures, internet disruptions, payment provider issues, bugs, force majeure events, or other technical reasons.

KSB Analytica is not liable for temporary unavailability, downtime, data transmission errors, browser incompatibility, user device issues, network problems, or third-party infrastructure failures, except where mandatory law provides otherwise.

12. Account access and security

Where user accounts, login credentials, API keys, or access links are provided, you are responsible for keeping them secure and confidential.

You must not share access credentials with unauthorized persons, resell access, bypass technical restrictions, scrape the service, reverse engineer the tool, overload the system, attempt unauthorized access, or use the service in a way that may harm the websites, infrastructure, data, or other users.

KSB Analytica may suspend or terminate access in case of suspected misuse, fraud, security risk, non-payment, breach of these Terms, unlawful activity, or technical threat.

13. Intellectual property

All website content, text, graphics, structure, design, models, logic, reports, templates, software elements, databases, methodologies, classifications, analytical frameworks, documentation, and materials are protected by copyright, database rights, trade secret protection, and other applicable intellectual property rights.

You may use outputs generated for you only for your own internal business purposes, unless otherwise agreed in writing.

You may not copy, reproduce, publish, sell, license, distribute, modify, reverse engineer, extract, scrape, train competing models on, or commercially exploit the websites, tools, reports, models, templates, or methodologies without prior written consent from KSB Analytica.

14. User licence to submitted data

By submitting data to the websites or tools, you grant KSB Analytica a limited right to process that data for the purpose of providing the requested service, operating the tool, generating outputs, maintaining security, troubleshooting, improving functionality, and complying with legal obligations.

KSB Analytica will not claim ownership over your original submitted data.

Where personal data is involved, processing is subject to the applicable Privacy Policy and data protection rules.

15. Confidentiality

KSB Analytica will use reasonable efforts to treat user-submitted business information as confidential, unless disclosure is required by law, court order, regulatory authority, payment provider investigation, security incident response, or necessary service provider processing.

You acknowledge that internet-based services are never entirely risk-free. You should not submit information that you are not legally permitted to disclose or that requires security measures beyond those offered by the websites.

16. Data protection

If the websites process personal data, such processing is governed by the applicable Privacy Policy.

You are responsible for ensuring that any personal data submitted by you or on your behalf is submitted lawfully, with all necessary notices, permissions, consents, contractual basis, legitimate interest assessment, or other lawful basis required under applicable data protection law.

You must not submit unnecessary personal data to the Credit Clustering Tool unless it is required for the specific service.

The websites may contain links to external websites or rely on third-party services, including hosting providers, payment providers, analytics tools, email systems, authentication providers, or other technical services.

KSB Analytica does not control external websites or third-party services and is not responsible for their content, availability, security, privacy practices, terms, decisions, errors, or failures.

Use of third-party services may be subject to separate third-party terms.

18. Limitation of liability

To the maximum extent permitted by applicable law, KSB Analytica shall not be liable for any direct, indirect, incidental, consequential, special, punitive, financial, commercial, reputational, or data-related loss arising from or connected with the use of the websites, services, tools, reports, or outputs.

This includes, without limitation, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, loss of anticipated savings, financing refusal, credit loss, investment loss, commercial loss, tax exposure, regulatory exposure, legal exposure, failed transaction, incorrect decision, or reliance on automated analysis.

Where liability cannot be fully excluded under mandatory law, KSB Analytica’s total aggregate liability shall be limited to the amount paid by the user for the specific service giving rise to the claim.

Nothing in these Terms excludes liability where exclusion is not permitted by mandatory applicable law.

19. Indemnity

You agree to indemnify, defend, and hold harmless KSB Analytica from and against any claims, damages, losses, liabilities, costs, penalties, and expenses arising from:

your use or misuse of the websites, services, or tools;
your reliance on any output;
your submitted data;
your breach of these Terms;
your infringement of third-party rights;
your unlawful processing or submission of personal data;
your commercial, credit, investment, legal, tax, financing, or business decisions;
claims made by third parties affected by your use of the outputs.

20. Prohibited use

You must not use the websites or tools:

for unlawful, fraudulent, misleading, abusive, or harmful purposes;
to make fully automated adverse decisions about individuals without required legal safeguards;
to upload malware or harmful code;
to interfere with website security or availability;
to scrape, copy, replicate, or compete with the tool or service;
to misrepresent outputs as official ratings, audit opinions, legal opinions, bank decisions, or certified valuations;
to violate intellectual property, confidentiality, privacy, banking, financial, consumer protection, or data protection laws.

21. No regulated financial service

Unless expressly agreed in a separate written contract and permitted by applicable law, KSB Analytica does not provide regulated investment services, banking services, insurance services, payment services, credit rating agency services, audit services, legal services, or tax advisory services through the websites.

Any financial analysis is provided as general business analysis and decision support.

22. Results are not guaranteed

KSB Analytica does not guarantee that using the websites, consulting services, reports, or Credit Clustering Tool will lead to any specific commercial, financial, credit, investment, financing, operational, tax, legal, strategic, or valuation outcome.

Past examples, sample outputs, case studies, blog posts, articles, or demonstrations do not guarantee future results.

23. Changes to services and terms

KSB Analytica may update, modify, suspend, discontinue, or replace any part of the websites, services, prices, functionality, models, reports, or these Terms at any time.

Updated Terms will be published on the website. Continued use of the websites or services after publication means that you accept the updated Terms.

24. Termination

KSB Analytica may suspend or terminate access to the websites, tools, or services where a user breaches these Terms, fails to pay, creates technical or legal risk, misuses the service, submits unlawful data, violates intellectual property rights, or otherwise acts in a manner harmful to KSB Analytica or third parties.

Termination does not affect payment obligations, intellectual property protections, confidentiality obligations, indemnities, limitations of liability, or other provisions intended to survive termination.

25. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Bulgaria, unless mandatory consumer protection rules or other mandatory laws provide otherwise.

Any disputes shall be submitted to the competent Bulgarian courts, unless mandatory law provides another forum.

26. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the maximum extent permitted by law.

27. Entire agreement

These Terms, together with any applicable Privacy Policy, Cookie Policy, written offer, service agreement, or payment terms, represent the applicable terms governing the use of the websites and services.

In case of conflict between these Terms and a separately signed written agreement, the signed written agreement shall prevail for the specific engagement.
